Terms of Use

By accessing or using the Resync Spaces website (“Platform”) or engaging our interior design, furniture sales, and execution services (“Services”), you (“User”, “Client”, or “Service Provider”) agree to be legally bound by these terms (“Terms”). If you do not agree, please discontinue use.

1. Definitions & Interpretation

  • Content: Includes all text, images, graphics, videos, software, and any data available on the Platform.
  • Services: Includes all interior design, modular or custom furniture products, project execution, consultancy, installation, and support services.
  • User(s): Clients, Prospective Clients, Service Providers, or any person accessing the Platform.
  • Account: User profile with personal, technical, and payment information.

2. Eligibility

You must be 18+ years old and legally capable to contract. By registering, you confirm your eligibility.

3. Account Registration & Data Accuracy

  • Users must provide accurate, complete information (name, contact, GST/PAN if applicable).
  • You agree to update your Account promptly to maintain accuracy.
  • Resync Spaces is not liable for consequences of outdated or incorrect data.

4. Scope of Services

  • Service Providers may be required to submit credentials, verify identity, and maintain necessary certifications.
  • Services are provided based on our standard policies, quality standards, and execution frameworks as detailed on our Platform.

5. User Obligations

As a Client:

  • Provide access to property and accurate site information.
  • Approve designs and BOQs in a timely manner.
  • Ensure payments as per schedule.
  • Not engage our vendors, subcontractors, or staff directly—doing so is an unauthorized transaction, void and non-binding.

As a Service Provider:

  • Maintain valid credentials and licenses.
  • Provide quality workmanship and cooperate with Resync Spaces standards.

6. Unauthorized Transactions

Any direct dealings with our staff, partners, or contractors that bypass Resync Spaces are not authorized. Such dealings neither bind us nor ensure our support. You are responsible for such unauthorized arrangements.

7. Modifications & Product Customizations

All designs, renders, and quotes are indicative. The final deliverable follows the approved BOQ. Custom-made items are non-refundable.

8. Payments

  • Invoices are generated as per the agreed payment schedule.
  • All payments must be made via our official channels (Platform payment gateway, UPI, bank transfer, or cheque to “Resync Spaces”).
  • Payments are non-refundable, except as mandated by applicable laws.
  • GST and other taxes are added as applicable.
  • Changes to scope may trigger additional charges (change order fee to be agreed upon).

9. Project Timelines & Delay Penalties

  • Delivery timelines are as per the approved Scope of Work.
  • Client delays (approvals, site access, payments) will extend timelines and may incur delay penalties (e.g., 0.25% of project value per week).
  • Warehousing charges may apply if products are not dispatched/received within 30 days of notification (e.g., 0.25% per week).

10. Force Majeure

Performance delays due to circumstances beyond our control (e.g., natural disasters, governmental restrictions, pandemics) are excusable, and timelines will be extended accordingly.

11. Intellectual Property

  • All Content on the Platform is owned or licensed by Resync Spaces.
  • You may not copy, reproduce, or distribute without express written permission.
  • You warrant that any materials you upload (e.g., site photos, designs) do not infringe third-party rights. Breach entitles us to terminate services and pursue remedies.

12. Disclaimer & Limitation of Liability

  • Services and Products are provided “as-is”.
  • We disclaim all implied warranties (merchantability, fitness for a purpose).
  • We are not liable for indirect, consequential, or incidental damages, to the full extent permitted by law.
  • Liability for direct damages is limited to the amount you paid under the relevant project.

13. Termination & Expiration

  • These Terms expire on project completion (handover).
  • We may terminate services with 15 days’ notice if you breach terms.
  • Termination does not absolve your payment obligations for ongoing work or material supplies.

14. Governing Law & Dispute Resolution

These Terms are governed by Indian law. Any disputes shall be resolved by the courts in Indore, Madhya Pradesh, unless we agree otherwise.

16. Policy Integration

These Terms incorporate all our policies: Privacy, Payment, Cancellation, Return & Refund, Warranty, and Care Instructions, available on our Platform.

17. Updates to Terms

We may update these Terms at our discretion. You will be notified by email and via the Platform. Continued use constitutes acceptance.
